By accessing and using Strait Dispatch ("Service"), you agree to comply with and be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you should not use the Service.

2. Description of Service

Strait Dispatch provides fleet management software, and sensor technology. We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.

3. Eligibility

To use the Service, you must be at least 18 years old or have the legal capacity to enter into these Terms. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration

You may be required to register an account to use certain features of the Service. You agree to provide accurate and complete information when creating an account and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5. User Conduct

You agree not to use the Service for any unlawful or prohibited purpose. You shall not:

  • Violate any applicable local, state, national, or international law.

  • Use the Service for any unauthorized or fraudulent purpose.

  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

  • Interfere with or disrupt the operation of the Service.

6. Subscription and Payment

Certain features of the Service may require a subscription. You agree to pay all fees and charges associated with your subscription in accordance with the billing terms in effect at the time a fee or charge is due and payable. We reserve the right to change our prices at any time.

7. Phone Numbers & Texting Services

By registering any phone numbers with our Service, you agree that these numbers will be used strictly for communication purposes within your fleet and between drivers. You expressly agree not to use the registered phone numbers for marketing, spam, or any other unapproved purposes. Any misuse of the phone numbers, including but not limited to sending unsolicited messages, conducting marketing campaigns, or engaging in spam activities, is strictly prohibited and may result in the suspension or termination of your account.

8. Cancellation and Termination

You may cancel your subscription at any time. Upon cancellation, you will have access to the Service until the end of your current billing period. We reserve the right to terminate or suspend your account or access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Service, us, or third parties.

9. Intellectual Property

The Service and its content, including but not limited to text, graphics, logos, and software, are the property of Strait Dispatch and are protected by intellectual property laws. You agree not to copy, modify, distribute, or create derivative works based on the Service or its content.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted or error-free.

11. Limitation of Liability

To the maximum extent permitted by law, Strait Dispatch shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Service; (b) any unauthorized access to or use of our servers and/or any personal information stored therein.

12. Indemnification

You agree to indemnify, defend, and hold harmless Strait Dispatch, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Utah/USA, without regard to its conflict of law principles.

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes, we will notify you by revising the date at the top of these Terms and, in some cases, we may provide additional notice (such as adding a statement to our homepage or sending you a notification). Your continued use of the Service after such changes will constitute your acceptance of the new Terms.
